Sulley Muntari gave the Black Stars the lead with a shot from 40 yards before Diego Forlan's free kick made it 1-1.
Asamoah Gyan then missed a penalty at the end of extra time after Luis Suarez saw red for handling on the line.
But Uruguay's Sebastian Abreu was the hero as he chipped in the winning spot kick after John Mensah and Dominic Adiyiah had missed for the Black Stars.
Ghana was hoping to become the first African team to make the World Cup semifinals.

Meanwhile, Wesley Sneijder dumped favorites Brazil out of the FIFA World Cup as Netherlands finally got the better of them winning 2-1 and now progress to the semifinals.
But, Netherlands had to come from behind to avenge their heartbreaking defeats of 1994 and 1998 and book their place in the semifinals.
Dunga's men may not possess all the flair of their forebears, but they had more than enough to cut Netherlands open almost at will, and the 1-0 lead they enjoyed at halftime was scant reward for their dominance.
It was Netherlands who took the lead with 22 minutes remaining when Kuyt flicked on Robben's corner and Sneijder steered a header into the net.
Looking at the two more quarter-finals coming up tomorrow morning, Argentina will take on Germany at 2am and Spain will play Paraguay at 6.30am.
